Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

By accessing or using the services provided by Shadownet Private Limited ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

These Terms apply to all visitors, users, and others who access or use our services, including but not limited to network infrastructure solutions, IT consulting, security systems, and related technical services.

2. Services

Shadownet Private Limited provides network infrastructure solutions, IT services, security systems, and related technical services to businesses and organizations in the Republic of Maldives and internationally. Our services include but are not limited to:

  • Network design and implementation
  • VOIP and telecommunications solutions
  • Security and surveillance systems
  • Structured cabling
  • IT infrastructure consulting
  • Equipment supply and maintenance
  • Service level agreements and ongoing support

3. Client Responsibilities

As a client of our services, you agree to:

  • Provide accurate and complete information as required for service delivery
  • Maintain the confidentiality of any access credentials provided
  • Use our services in compliance with all applicable laws and regulations
  • Not use our services for any unlawful or unauthorized purpose
  • Provide reasonable access to premises and systems as needed for service delivery
  • Pay for services in accordance with agreed payment terms

4. Payment Terms

Payment terms shall be as specified in individual service agreements, quotations, or invoices. Unless otherwise agreed in writing:

  • Payments are due within 30 days of invoice date
  • All prices are quoted in Maldivian Rufiyaa (MVR) or US Dollars (USD) as specified
  • Late payments may incur additional charges
  • We reserve the right to suspend services for overdue accounts

5. Intellectual Property

All intellectual property rights in our services, including but not limited to software, documentation, designs, and methodologies, remain the property of Shadownet Private Limited or our licensors. Clients are granted a limited, non-exclusive license to use deliverables solely for their intended business purposes.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Equipment supplied is covered by manufacturer warranties as applicable.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. Limitation of Liability

To the maximum extent permitted by law, Shadownet Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amounts paid by you for the specific services giving rise to the claim in the twelve (12) months preceding the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of service delivery. This obligation shall survive the termination of any service agreement.

9. Termination

Either party may terminate services in accordance with the terms of specific service agreements. We reserve the right to terminate or suspend services immediately if you breach these Terms or fail to make timely payments.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Maldives. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Maldives.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
